1. Acceptance of Terms

By accessing or using the LinAcc platform ("Service"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you may not use the Service. We reserve the right to modify these terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

LinAcc is a cloud-based accounting platform that provides business owners with hosted access to accounting software, including invoicing, expense tracking, payroll, VAT compliance, financial reporting, and related business management features. The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.

3. Subscription and Payment

Access to LinAcc requires an active paid subscription. Subscription plans are billed monthly (R99/month) or annually (R990/year), payable in South African Rand (ZAR) via PayFast.

Free Trial:

  • New users receive a 3-month free trial for their first business
  • Additional businesses require immediate subscription
  • Trial access includes all features of a paid subscription

Payment Terms:

  • Subscriptions are processed through PayFast and renew automatically
  • You are responsible for ensuring valid payment details are on file
  • Failed payments will be retried according to PayFast's retry schedule
  • You may cancel your subscription at any time through your account settings

Access Restriction for Overdue Payments:

Important: If your subscription payment remains outstanding for more than 60 days, access to your business data within the accounting system will be restricted until payment is received.

  • Payment reminder emails are sent at 30 days and 60 days overdue to the business owner and all site administrators
  • At 60 days overdue, access is removed for the business owner and all employees of the affected business in the accounting system
  • Your data will be securely retained but inaccessible during the restriction period

Restoration of Access Upon Payment:

  • Upon successful payment, business owner access will be fully restored
  • Employee access will be restored, however all employee permissions will be reset
  • The business owner is responsible for reassigning employee permissions after access is restored
  • LinAcc does not retain records of employee permission levels prior to access restriction

Data Deletion for Prolonged Non-Payment:

We reserve the right to permanently delete all business data for accounts that remain unpaid for more than 180 days (6 months) from the date of the first missed payment, after providing written notice to your registered email address. This includes all business records, employee data, and accounting information associated with the affected business.

4. User Accounts and Security

You are responsible for:

  • Providing accurate and complete registration information
  • Maintaining the confidentiality of your account credentials
  • Using strong, unique passwords and keeping them secure
  • Notifying us immediately of any unauthorized access to your account
  • All activities that occur under your account
  • Ensuring that your email address is secure and accessible only by you

We use email-based One-Time Passwords (OTP) for authentication. You must ensure your registered email account is secured with strong passwords and, where available, two-factor authentication. We are not liable for unauthorized access resulting from compromised email accounts.

5. Acceptable Use

You agree NOT to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or servers connected to the Service
  • Upload or transmit viruses, malware, or other malicious code
  • Impersonate any person or entity or misrepresent your affiliation
  • Collect or harvest any information from the Service without authorization
  • Use automated systems (bots, scrapers) to access the Service without permission
  • Share your account credentials with third parties

6. Data and Privacy

By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.

You are responsible for:

  • Ensuring you have the right to input any data into the Service
  • The accuracy and legality of all data you provide
  • Complying with applicable data protection laws when entering employee or business information
  • Obtaining necessary consents from individuals whose data you input into the Service

7. Intellectual Property

The Service, including its design, features, content, and underlying technology, is owned by LinAcc and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without explicit written permission.

8. Limitation of Liability

To the maximum extent permitted by law:

  • LinAcc shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
  • We are not responsible for any loss of data, business interruption, or financial losses resulting from the use or inability to use the Service
  • Our total liability for any claims arising from the Service shall not exceed the amount you paid to us (if any) in the twelve months preceding the claim
  • We are not liable for unauthorized access to your account resulting from your failure to maintain adequate security of your credentials

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Merchantability and fitness for a particular purpose
  • Non-infringement of third-party rights
  • Uninterrupted, timely, secure, or error-free operation
  • Accuracy or reliability of any information obtained through the Service

10. Indemnification

You agree to indemnify, defend, and hold harmless LinAcc, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms and Conditions
  • Suspected fraudulent, abusive, or illegal activity
  • Extended periods of inactivity
  • Request by law enforcement or government agencies

Upon termination, your right to use the Service will immediately cease. We may retain certain data as required by law or for legitimate business purposes.

12. Changes to Terms

We may update these Terms and Conditions from time to time. We will notify you of material changes by posting the new terms on this page and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the new terms.

13. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of South Africa, without regard to its conflict of law provisions. Any disputes arising from these terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts in South Africa.
